1. Agreement
These Terms of Service ("Terms") govern access to and use of the Opus Medical website at opus-med.com and related online materials (the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
2. Audience and professional use
The Site is intended for healthcare professionals, procurement and materials staff, hospital and ambulatory surgery center administrators, and authorized business partners. Content is for informational and educational purposes related to Opus Medical products and commercial offerings. It is not medical advice, and it does not replace the applicable Instructions for Use (IFU), labeling, or a licensed clinician's independent judgment.
3. Access credentials
Portions of the Site may be password-protected. You are responsible for keeping any access credentials confidential and for activity under your access. We may suspend or revoke access at any time, including for suspected misuse, security risk, or violation of these Terms. Sharing passwords with unauthorized parties is prohibited.
4. Product information and regulatory status
Product descriptions, images, metrics, technique summaries, and commercial statements on the Site are provided for convenience. Always refer to current product labeling, IFU, and regulatory documentation for indications, contraindications, warnings, precautions, and use. Availability of products and indications may vary by jurisdiction. Nothing on the Site constitutes an offer to sell where prohibited by law.
Illustrations, renderings, and animations are representations only and may not depict every product variant, size, or surgical scenario.
5. Intellectual property
The Site and its content, including text, graphics, logos, product imagery, layout, and documentation made available through the Site, are owned by Opus Medical or its licensors and are protected by intellectual property laws. You may view and download materials solely for internal professional evaluation related to Opus products, provided you do not remove proprietary notices. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from Site content except as expressly permitted by us in writing or by applicable law.
6. Acceptable use
You agree not to:
- Use the Site for any unlawful purpose
- Attempt to gain unauthorized access to systems, accounts, or data
- Interfere with Site security, integrity, or performance
- Scrape, harvest, or bulk-download content without permission
- Submit malicious code, spam, or false or misleading information
- Submit protected health information or sensitive patient data through general forms
- Misrepresent your identity, affiliation, or authority
7. Contact submissions
If you submit information through forms or email, you represent that you have authority to provide it and that it is accurate. We may use submissions as described in our Privacy Policy. Submissions do not create a confidentiality obligation unless we separately agree in writing.
8. Third-party services
The Site may rely on third-party hosting, email delivery, analytics, or other services. We are not responsible for third-party services except as required by law. Links to third-party sites are provided for convenience only.
9. Disclaimers
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT CONTENT IS COMPLETE, CURRENT, OR SUITABLE FOR YOUR SPECIFIC CLINICAL OR COMMERCIAL DECISION.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPUS MEDICAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US SPECIFICALLY FOR SITE ACCESS IN THE TWELVE MONTHS BEFORE THE CLAIM, WHICHEVER IS GREATER.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud or willful misconduct where such limitation is prohibited.
11. Indemnity
You agree to defend, indemnify, and hold harmless Opus Medical and its personnel from and against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your infringement of any right of another party.
12. Governing law
These Terms are governed by the laws of the United States and the State of Michigan, without regard to conflict of law principles, except where mandatory local law applies. State or federal courts located in Michigan will have exclusive jurisdiction over disputes arising from the Site, unless applicable law requires otherwise.
13. Changes
We may update these Terms from time to time. The "Last updated" date reflects the latest revision. Material changes may be highlighted on the Site. Continued use after changes constitutes acceptance of the revised Terms.
